Terms of Service

These Terms of Service (“Terms”) govern your access to and use of https://setrick.com and any content, features, or pages made available by Setrick (“Setrick”, “we”, “us”, or “our”) through the website (collectively, the “Site”). By accessing or using the Site you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, do not use the Site.

You must be at least 18 years old to use the Site. If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

These Terms apply only to your use of the Site. Professional services provided by Setrick to clients are governed by a separate written agreement (such as a master services agreement and associated statements of work). In the event of any conflict between these Terms and such an agreement, the separate agreement controls in relation to the services delivered under it.

The Site and all content, design, code, text, graphics, logos, trademarks, and other materials available on it are owned by or licensed to Setrick and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your personal and internal business purposes.

You may not reproduce, republish, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the Site without our prior written consent. The Setrick name and logo are trademarks of Setrick; nothing in these Terms grants you a licence to use them.

If you submit suggestions, ideas, or feedback to us, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose without obligation to you.

When using the Site you must not:

• Violate any applicable law, regulation, or third-party right.
• Attempt to gain unauthorised access to any part of the Site, related systems, or networks.
• Probe, scan, or test the vulnerability of the Site, or circumvent any security or authentication measure.
• Use automated means to access, scrape, or harvest data from the Site without our prior written permission.
• Reverse engineer, decompile, or disassemble any part of the Site, except to the extent expressly permitted by law.
• Interfere with or disrupt the Site, servers, or networks connected to the Site.
• Upload, transmit, or distribute malware, or content that is unlawful, defamatory, or infringing.
• Use the Site to send unsolicited commercial communications.

The Site may contain links to third-party websites, services, or resources. Such links are provided for convenience only, and Setrick does not endorse, control, or accept responsibility for the content, accuracy, or practices of any third party. Your dealings with third parties are solely between you and them.

To the fullest extent permitted by law, the Site and all content on it are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Information on the Site is for general informational purposes only and does not constitute legal, financial, tax, or professional advice. You should seek independent advice before acting on anything you read on the Site.

To the fullest extent permitted by applicable law, Setrick and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of such damage.

Our aggregate liability to you for any claim arising out of or relating to these Terms or the Site will not exceed the greater of SAR 100 or the amount paid by you (if any) to access the website. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

You agree to defend, indemnify, and hold harmless Setrick and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Site in breach of these Terms or your violation of any law or third-party right.

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have breached these Terms. Upon termination, the sections of these Terms that by their nature should survive will continue to apply, including the sections on intellectual property, disclaimers, limitation of liability, indemnity, and governing law.

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to its conflict-of-laws principles. You and we agree that the courts of Riyadh will have exclusive jurisdiction to hear any dispute arising out of or relating to these Terms or the Site, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

If you are a consumer resident in the EEA or the United Kingdom, nothing in this section deprives you of the protection of mandatory consumer-protection laws of the country in which you reside.

We may revise these Terms from time to time. The revised Terms will take effect when posted on the Site, and the “Last updated” date at the top will indicate the effective date. Your continued use of the Site after revisions take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Setrick regarding your use of the Site and supersede any prior agreements.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision will not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations freely.

Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control.

Notices. We may provide notices via the Site or to the email you provide. You must send us notices to legal@setrick.com.
